2020 Bulkers Ltd. (2020) – Transaction Update

Reference is made to the recent stock exchange announcements published by 2020 Bulkers Ltd. (the “Company“) relating to the acquisition of companies owning or having contracts for the acquisition of up to 15 large AHTS vessels.

Reference is further made to the US$175 million private placement which has been successfully placed and allocated.

The Company is pleased to announce that the conditions for the completion of the Acquisition of AHTS AS and the private placement have been satisfied and that the Company has substantially completed the announced transactions today.

Firstly, the Company has completed the acquisition of the shares in AHTS AS. Following such completion, the Company controls a fleet of 7 large AHTS vessels.

Secondly, the Company is pleased to confirm that AHTS AS has completed the acquisition of all the shares in UMAS 42 AS, UMAS 49 AS and Anchor Challenger AS and 79% of the shares in Anchor Launcher AS. Each of these companies holds a large AHTS vessel, thereby taking the fleet under the control of the Company to 11 large AHTS vessels.

Furthermore, the Company refers to the agreements held by AHTS AS for the purchase by AHTS AS of additional three large AHTS vessels expected during Q4 2026. As explained in the Company’s announcement on 30 September 2026, a certain amount of the agreed purchase price for the shares in AHTS AS has been withheld by the Company pending delivery of these three yet undelivered AHTS vessels to AHTS AS. Subject to delivery of each vessel, the relevant portion of the purchase price pertaining to each delivered vessel shall become payable by the Company to the sellers of AHTS AS, and an aggregate of 40,176,621 additional consideration shares shall then be issued to the sellers of AHTS AS.

Furthermore, as announced by the Company on 22 September 2026, AHTS AS has received acceptances from all shareholders in Anchor Australia AS for the purchase by AHTS AS of their shares. Anchor Australia AS has entered into an agreement to purchase the large AHTS vessel “Skandi Peregrino”. The completion of AHTS AS’ acquisition of the shares in Anchor Australia AS is expected to be completed in conjunction with the delivery of “Skandi Peregrino” to Anchor Australia AS, expected during October 2026. In connection with the completion of the purchase of the shares in Anchor Australia AS an estimated number of 55,721,310 consideration shares will be issued to the sellers of this company, subject to adjustments to be made based on a closing balance sheet to be agreed prior to completion.

Subject to the completion of AHTS AS purchase contracts and the acquisition of Anchor Australia AS, the Company will control a fleet of 15 AHTS vessels.
